Job Description

Based in Los Angeles, Palo Alto, Century City, Orange County, Los Angeles, Denver, New York, or Washington, D.C. the Corporate Paralegal - Fund Finance will be responsible for providing comprehensive legal and administrative support for a high-volume subscription (capital call) and NAV lending practice, including managing closing processes across multiple concurrent financings, coordinating lender due diligence and KYC, preparing, filing and reviewing UCC financing statements, reviewing fund organizational documents, leveraging AI tools, and handling post-closing collateral and deliverable requirements. This is a fast-paced practice with a high transaction volume, and the role requires the ability to manage numerous simultaneous closings.

This role reports to the Transactional Paralegal Supervisor.

 

Responsibilities include: 

  • Prepare, maintain, and drive closing checklists and working group lists across multiple concurrent fund financing transactions, tracking open items and deliverables through to closing.
  • Prepare, circulate, and track signature pages across complex fund structures (funds, feeder vehicles, parallel funds, alternative investment vehicles, general partners, and blocker/aggregator entities).
  • Coordinate lender KYC/AML and “know your customer” requirements across borrower and guarantor entities, and track satisfaction of conditions precedent.
  • Coordinate UCC, tax lien, judgment, litigation, and bankruptcy searches and prepare summaries of results, and clear problem liens as needed.
  • Order good standing certificates and certified formation documents across relevant U.S. and offshore jurisdictions (e.g., Delaware, Cayman Islands, Luxembourg).
  • Review fund organizational documents (limited partnership agreements, subscription agreements, side letters, and organizational charts) to identify provisions relevant to subscription and NAV facilities, and assist in maintaining structure charts.
  • Leverage AI tools such as Harvey to assist with review of fund documents and preparation of diligence matrices.
  • Prepare initial drafts of and compile secretary’s certificates, incumbency certificates, resolutions, and authorization documents, and coordinate execution.
  • Prepare, review and file UCC-1 financing statements to perfect security interests, including drafting collateral descriptions, and prepare and review UCC-3 amendments, assignments, and terminations.
  • Maintain an accurate calendar and track lien filings across jurisdictions.
  • Draft routine ancillary documents from precedent, including borrowing base certificates
  • Prepare blacklines/comparisons, maintain version control, and manage data rooms and deal files.
  • Support transaction closings, including leveraging iManage Closing Folders to prepare signature packets, compile final executed documents, and assemble client-facing closing binders.
  • Coordinate notarization and apostillization of documents.
  • Send documents for execution via DocuSign, arrange execution, and compile executed documents and exhibits.
  • Track and manage post-closing deadlines and conditions subsequent, including sending calendar invites for key events.
  • Maintain post-closing collateral and deliverable requirements and manage the transaction pipeline and status trackers.
  • Maintain precedent and form libraries for the fund finance group.
  • Other tasks and responsibilities as assigned.

 

Qualifications:

  • Working knowledge of secured lending documentation (credit agreements, security agreements, and guarantees) and UCC perfection mechanics; familiarity with fund finance (subscription/capital call and NAV facilities) preferred but not required.
  • Ability to read and pull relevant provisions from fund organizational documents.
  • Comfortable and effective in client-facing situations, demonstrating strong communication and interpersonal skills to build and maintain professional relationships.
  • Superior analytical and reasoning abilities.
  • Strong written and verbal communication skills.
  • Excellent organizational skills and strong attention to detail.
  • Proactive and able to efficiently handle a high volume of concurrent transactions and client matters simultaneously.
  • Ability to work independently and as part of a team, with members across multiple offices in a fast-paced environment.
  • Flexible and able to multi-task, balancing priorities and tight deadlines.
  • Ability to work overtime as needed.

 

Experience:

  • Bachelor’s degree preferred, or an equivalent combination of education and substantive paralegal experience. Candidate must meet any applicable state requirements governing the performance of paralegal duties, including any required certifications or qualifications.
  • 5+ years of relevant experience preferred, ideally including secured lending, fund finance, or banking/finance transactional support in an Am Law 100 Firm.
  • Notary preferred.

Compensation & Benefits:

The annual compensation range for this position is $100-130k. The salary offered within this range will depend upon qualifications and other operational considerations.
