Job Description
Position Overview
The Corporate Paralegal II will be responsible for supporting the in-house Legal departments of both Invenergy and Polsky Holdings with preparing, filing, and reviewing documents related to development, M&A, project finance, real estate and venture investments, entity formation, corporate governance, and other legal and business matters while working cross-functionally with teams across both organizations to meet project and operational needs.
This position will be located at Invenergy's headquarters in downtown Chicago, IL.
Responsibilities
Provide support for corporate organization and entity management matters, including (i) formation, maintenance and dissolution of entities, (ii) creation and maintenance of corporate organizational charts, (iii) conducting UCC/lien searches as part of due diligence process, (iv) facilitating officer/director modifications, and (v) tracking and managing membership interest certificates and/or share certificates
Assist internal and external legal teams and other departments, including Development, Finance, Tax and Treasury, in administering projects through construction, financing and achieving commercial operation and in administering family office investments and transactions
Facilitate and support transaction closing processes, including preparation of signature packets, coordination with transaction participants, and addressing issues to support timely closings
Prepare corporate governance documentation, including resolutions, written consents, secretary and incumbency certificates, membership interest assignments, and support senior paralegal team members by coordinating, obtaining, and tracking required manual and electronic signatures, as necessary
Participate in the development of virtual and in-person training sessions to commercial business teams in connection with company or family office legal policies and procedures, use of the company’s entity management system, and additional legal education topics as needed
Maintain internal records relating to legal entities across both organizations
Support review, response and remediation of incoming Know Your Customer (KYC) requests as necessary
Minimum Qualifications
Minimum of 3-6 years of corporate transactional experience within a company's legal department or in a mid- to large-size law firm setting
Paralegal certificate from an accredited paralegal education program, or equivalent experience
Strong organizational, time management, and oral and written communication skills
Advanced working knowledge of legal procedures, forms, documents and terminology
High attention to detail
Ability to prioritize and meet deadlines without sacrificing quality of work product
Ability to work independently and collaboratively, depending on the situation
Excellent interpersonal skills with the ability and desire to work effectively in a team environment
Proficient in MS Office products, including Word, Excel, Outlook, Adobe, SharePoint and PowerPoint
Preferred Qualifications
Experience with corporate transactions in a law firm setting
Experience in construction, development and/or renewable energy sector highly preferred
Active Illinois notary
Base Pay
$33.00 - $42.23 USD Hourly
Bonus: 15%
The base pay range reflects the minimum and maximum target salary for the position. Invenergy considers a number of factors when determining base pay offers such as the scope and responsibilities of the position and the candidate's experience, education and skills.
