MUFG Securities is seeking for a Director of the Legal Office for Asia in Capital Markets join to their dynamic team in Hongkong. This position offers you the chance to shape and influence the delivery of legal services across the Asia-Pacific region, working at the forefront of complex debt capital markets transactions.   • Play a key role in leading and executing high-profile debt capital markets transactions across multiple jurisdictions including Hong Kong, Singapore, and Australia, directly influencing business outcomes and market presence.

  • Work closely with senior management and cross-functional teams to deliver pragmatic legal solutions, drive strategic initiatives, and contribute to the ongoing success of one of the world’s most prominent financial institutions.

 

What you'll do:

As Director of Legal Office for Asia in Capital Markets, you will play an integral part in shaping the delivery of sophisticated legal services throughout the Asia-Pacific region. Your day-to-day responsibilities will involve overseeing end-to-end execution of debt capital markets transactions—ranging from EMTN programmes to standalone bond issuances—while ensuring all activities adhere to stringent regulatory standards. You will collaborate closely with internal stakeholders such as investment banking teams and senior executives, providing expert advice on securities laws across multiple jurisdictions. In addition to drafting critical transaction documentation and negotiating with external parties like banks and underwriters, you will also monitor evolving regulations that impact capital markets activity. Your ability to mentor junior team members will help build internal capabilities while your involvement in strategic initiatives will further strengthen the organisation’s competitive edge. Success in this role requires not only technical proficiency but also a collaborative approach that fosters trust among colleagues and external partners alike.

 

  • Manage and develop direct reports by providing guidance, coaching, and support on complex legal issues while nurturing their professional growth within the team.

  • Strategically plan, prioritise, and execute coordinated legal services that align with business objectives across the APAC region, ensuring consistency and operational excellence.

  • Identify process and operational risks in the delivery of legal services; lead strategic initiatives to mitigate these risks while standardising resources across regional offices.

  • Deliver commercially minded legal support covering financial services, regulatory matters, and compliance requirements relevant to capital markets activities.

  • Draft, review, and negotiate comprehensive legal documentation for various banking and securities-related activities including investment banking divisions and corporate banking units.

  • Lead efforts to reduce external counsel spend by optimising internal resources and implementing cost-effective strategies without compromising quality or compliance.

  • Act as an independent guardian and trusted business partner by offering pragmatic advice that balances commercial needs with regulatory obligations.

  • Proactively provide consultancy services on material legal developments affecting a broad range of products and services within the organisation.

  • Regularly brief senior management on major issues arising in relevant business areas as well as significant legislative changes impacting operations.

  • Support bank-wide projects including litigation matters; coordinate with external counsel while managing regional legal affairs in collaboration with other APAC offices.

To excel as Director of Legal Office for Asia in Capital Markets, you will bring extensive experience gained from leading complex debt capital markets transactions across Asia-Pacific. Your background should include deep familiarity with securities laws governing multiple jurisdictions alongside a history of delivering results within both private practice settings and large multinational organisations. Your interpersonal skills will enable you to foster positive relationships with colleagues at all levels while your commitment to knowledge sharing ensures ongoing team development. A keen eye for detail paired with commercial awareness allows you to navigate intricate regulatory landscapes efficiently.   • Qualified lawyer admitted in a common law jurisdiction such as England & Wales, Hong Kong, Singapore or Australia with substantial post-qualification experience.

  • A minimum of 10–15 years’ proven track record advising on complex capital markets transactions within top-tier international law firms or major financial institutions.

  • Extensive hands-on experience managing cross-border bond issuances in Hong Kong, Singapore, Australia or similar jurisdictions within Asia-Pacific.

  • Deep technical knowledge of securities laws, disclosure standards, liability frameworks as well as listing rules across major exchanges such as HKEX, SGX or ASX.

  • Demonstrated ability to independently lead transaction structuring through execution while maintaining meticulous attention to detail under tight deadlines.

  • Exceptional drafting skills coupled with strong negotiation abilities when handling offering circulars/prospectuses, subscription agreements or dealer mandates.

  • Commercial acumen enabling you to provide practical solutions that balance business objectives with regulatory requirements in fast-evolving environments.

  • Outstanding stakeholder management skills allowing effective communication with internal teams as well as external parties including auditors or trustees.

  • High level of professionalism combined with sound judgement when navigating sensitive or high-stakes situations involving multiple jurisdictions.

  • Experience mentoring junior lawyers or building internal capabilities within diverse teams operating across different regions.
