The Legal & Compliance Advisor role will be employed by PVD Baker Hughes, an established and successful joint venture between Baker Hughes and PV Drilling in Vietnam. The Legal & Compliance Advisor will report to the Executive Board of the joint venture, and supports the business by providing legal and regulatory guidance across all joint venture operations. The role monitors compliance with the joint venture agreement, joint venture charter and Vietnamese Law, proactively identifies and mitigates legal exposure, reviews contractual commitments, and provides structured legal and risk assessments to support executive decision-making.

 

As a Legal & Compliance Advisor, you will be responsible for:

 

  • Monitoring and ensuring adherence to the joint venture agreement, joint venture charter, joint venture policies and Vietnamese Laws, including Enterprise, Labor, and Tax requirements, and proactively identifying, assessing and mitigating legal exposures across all joint venture operations.
  • Maintaining and managing records of the joint venture’s compliance related documents, as required under the joint venture agreement, joint venture charter, and Vietnamese Law, including Members’ Council meeting minutes and resolutions, and appointment letters to or within the joint venture.
  • Providing legal review and support, and obtaining approvals for, the joint venture’s contracts, including customer contracts, vendor agreements, and intercompany transactions, and making recommendations to the Executive Board and Members’ Council.
  • Providing legal review and support for the joint venture’s day-to-day operations, including on claims, collections and disputes.
  • Ensuring all legal and contractual commitments are reviewed for compliance with the approved Delegation of Authority (DoA) and internal approval processes.
  • Serving as Secretary to the Members’ Council, including coordinating meeting agendas, assisting in the preparation of Members’ Council submissions, preparing minutes and draft resolutions, and formal legal assessments, and providing structured risk analysis and compliance confirmations to support executive decision-making.
  • Providing legal and compliance review and advisory on related-party transactions to mitigate risks and ensure alignment with approved policies and applicable regulations.
  • Identifying potential conflicts of interest and managing the disclosure, documentation and escalation process.

 

To be successful in this role you will:

 

  • Hold a law degree and have 3–5 years of relevant post-qualification experience in corporate, commercial, or in-house legal practice in Vietnam
  • Have experience providing commercial legal counsel support, including contract review and legal risk assessment.
  • Have knowledge of legal and regulatory compliance requirements, including corporate, labor, and tax matters.
  • Have experience supporting governance processes, executive or management committee submissions, and compliance reviews.
  • Have the ability to identify legal risks, manage conflicts of interest, and provide clear legal recommendations to stakeholders.
  • Communicate and draft legal documents clearly in both Vietnamese and English.
  • Work effectively with operations, finance, HR and commercial teams, while maintaining confidentiality and sound professional judgment.
