Corporate / M&A Associate

D'Empaire Reyna Abogados is hiring a Corporate / M&A Associate based in Caracas, Venezuela. Join the corporate and M&A practice advising multinational and domestic clients on transactions, restructurings and joint ventures.

Responsibilities

• Advise on mergers, acquisitions and corporate reorganisations under the Codigo de Comercio
• Draft and negotiate share purchase and shareholder agreements
• Conduct legal due diligence and prepare closing documents
• Handle company filings before the Registro Mercantil

Requirements

• Licenciatura en Derecho from an accredited Venezuelan university.
• Admission as an abogado (registered with a Colegio de Abogados and INPREABOGADO).
• 2 to 5 years in corporate/M&A at a recognised firm
• Strong written and spoken English
